Breeze Easy offers an intelligent and affordable solution to the conflict of cost versus the pleasure of ownership.  Our services support the increasingly popular concept of Fractional Ownership.  Instead of one owner, several parties share in the ownership of the asset buying typically a 1/4, 1/6, or 1/8 share.

Generally speaking, those who are considering buying a recreational asset outright find that by partnering in a professionally managed asset they enjoy lower costs and higher quality model assets at the same time.

Breeze Easy provides a forms processing service to minimize legal costs in the partnership formation and then provides a complete array of luxury asset management services on an ongoing basis.  These unique services remove the problems that typically arise in partnerships, making the experience even more rewarding than sole ownership with far less investment.


Maintenance Management

Now you can have the best of both worlds - partners to help with the maintenance if you want to do it or we can do it for you.  Of course, as only one partner, you pay just a fraction of the maintenance costs.

All Maintenance Records On-Line

Partners can log in to Breeze Easy via the Internet and see an up-to-date log of all maintenance done over the life of the partnership with their associated costs.

Preventative maintenance is also scheduled and carried out in accordance with partner-defined preferences as specified in the current partnership agreement.

The preventative maintenance days appear as blackout days on the Usage Scheduling Calendar.

Consolidated Billing

Breeze Easy saves you money by relieving you of much of the time-consuming administrative overhead associated with recreational asset ownership.

A primary component of our services includes the bookeeping associated with asset management.

Aside from the fact that your indiviual outlay for berthage and upkeep is fractional, we also consolidate them to provide each partner with a single monthly bill.  This bill will include your share of:

    * Planned and preventative maintenance
    * Repairs
    * Cleaning
    * Assessments
    * Insurance
    * Registration
    * Property fees
    * Replacement equipment
    * Upgrades
    * Consumable supplies


Partner Contributions

Depending on the maintenance plan chosen by the partnership, either the partnership or Breeze Easy draws up an annual budget of approved expenses, maintenance, and upgrades at the start of each year.

This determines the monthly payments each partner makes to Breeze Easy via electronic payment.  A reserve balance of at least one month's regular expenses
plus 1% of the asset's value is held in trust.  The latter is held for any major or unexpected repairs.

Planning Assistance Provided

Breeze Easy has prepared a planning template to assist partners in constructing their annual budgets.  The completed budgets are available to all partners from your asset's private website and further budgets may be adjusted collaboratively during the year as necessary.


Tracking Expenditures & Documentation

Checking up on where your contributions are spent is a snap.  Breeze Easy provides everything you need to see on-line.  Our secure partner website provides periodic audit trails of all expenditures including receipts, invoices, etc., annual Profit & Loss and Balance Sheets.

We maintain and post online three separate logs.  One managed by partners and two managed by Breeze Easy, one for administration and one for maintenance.

Approved maintenance and service providers can get restricted access to documents such as wiring diagrams, asset specifications, asset location, maintenance logs, and can view maintenance schedules.

Our information system tracks every user visit to our website.  So if there is ever a question of who did what and when, we’ll be able to sort it out.


Scheduling Use of Your Asset

Breeze Easy enables the most comprehensive scheduling functionalities that we know to exist.  Typically, the closer the partners live to their asset, the more flexibility they demand.  Partnerships can enjoy any combination of statutory, negotiated and online dynamic scheduling allocations. What's more, they can employ a host of business rules for which they can set unique parameters.

Dynamically scheduling the use of your asset couldn't be easier.  Simply log in to your Breeze Easy partnership site, click the day you wish to reserve and submit.  Your request is validated against the scheduling rules and parameters elected by your partnership.


Equitable Usage Allocation

These usage parameters ensure partners get an equitable allocation of days - including seasons, weekends and holidays.  You may elect to use a points system to control this, with peak seasons, weekends and holidays consuming more points than regular work days.

If your plans change, you can return and cancel your reservation, with or without a points penalty depending on the pre-selected rules of the partnership.

Planned and repair maintenance days are visible online and are unavailable for usage reservations.  The online dynamic scheduling currently requires


Finding New Partners

From time to time an asset may warrant one or more additional partners.  A single owner may be ready to sell a fractional interest and begin a new partnership.  In other cases, life will change for an existing partner who may wish to sell or reduce his or her interest.  Fortunately, fractional ownership is a growing concept and is receiving wide acceptance as an intelligent form of ownership for luxury recreational assets.

When existing asset owners sign our listing agreement, we will take a proactive role in finding candidate partners for their consideration.  Breeze Easy facilitates locating new partners via features in advertisements, tradeshows, mailings and receptions.  All current availabilities are posted on our online asset showcase.


Where You Can Look Yourself

You may be able to find your own partners among friends, family, coworkers, fellow club and church members and other sources of word of mouth.  Since you can rely on our professional management you need not be too concerned about personality compatibility.
Asset Usage Considerations

A perfect partner may have very different usage preferences from you.  For example, if you live near your asset it will be very easy to coordinate with an out-of-towner who wants a few pre-scheduled weeks a year.


Budget Considerations

As a very rough guideline, the annual maintenance costs of an asset are approximately 6%.  Hence, a potential 25% partner of a $300,000 asset should also be able to handle a maintenance budget of $375/mo.

Setting Up The Partnership

"Treat business like business and friends stay friends"

We recognize that many partnerships form out of friendships.  Friendships that can easily turn sour when expectations over responsibilities and usage misalign.  That's just one area where we smooth the waters.


Formation Process

The fractional industry has been counseled that partners are wise to protect themselves by forming a legal entity and assigning management to a 3rd party firm such as Breeze Easy. Our pre-prepared legal documentation and on-line management systems simplify the process.  However, existing partnerships can also benefit by utilizing our suite of services.


Management

The Operating Agreement and our management contract authorize Breeze Easy to take feduciary responsibility for the LLCs, insuring politically neutral sets of partners who can rely on our third-party professional management.  Source documents, logs and accounting records are saved into perpetuity.


Outside Roles

When appropriate, outside experts are employed.  Examples include asset surveys, partner arbitration, title insurance and, in some cases, primary vendors.


Flexible Bylaws and Policies

We have a host of candidate LLC Bylaws that a set of partners may wish to consider invoking or not to best suit their preferences.  While they do not directly address our management responsibilities, our experience in fractional asset management gives us expertise we wish to share.  This protects the interests of each partner and provides considerable flexibilty.  These elections become part of the core Articles of Organization and Operating Agreement documents when they are prepared by us.


Flexible Admin Business Rules

Partnerships are also able to control with great detail what they wish Breeze Easy to do for them.  Because we have designed a very flexible set of services from which partnerships may elect, there are a series of management business rules available to partnerships which may be turned on and off and which may be parameterized as desired.  These are especially important for our maintenace responsibilities and for partner scheduling.


Configuration by Initial Owner(s)

In most cases partnerships begin either by a single owner of a luxury asset wishing to sell ownership shares to new partners or by a marketing effort of a manufacturer of a new asset with which we are contracted. In these cases we encourage these initial owners to review our candidate lists of bylaws and management business rules and to propose elections. This saves time for prospective partners and improves early communication regarding preference compatibility.


A Process for Change

Over time, the partnership may elect to change some of these options on or off as it seeks to achieve a desired consensus and control over budget, maintenance, cleaning and usage scheduling. We've got the procedures and forms to make it all easy.


Exiting The Partnership

When you partner on the ownership of an asset, you own your share into perpetuity. You have transferable property rights and can sell part or all of it as you see fit at the going market rate, subject to any ownership entity bylaws that you and your partners may have defined.

Some partners may want first right of refusal to purchase shares from partners wishing to exit the partnership.  We provide recommendations regarding what bylaws you may want to include in your ownership entity formation documents concerning partner turnover. In some cases we may even be willing to buy your shares ourselves.

Frequently Asked Questions

Do I have to share use of our asset with my partners?

No, that is up to all of you.  Our expectation is that most partners will not be particularly interested in socializing with their partners, but instead simply want to achieve the financial benefits of asset sharing.  Of course, partners may become good friends and may enjoy participating in the asset recreation together, but that is not the norm.


Do I have to interact with my partners?

As a member of a limited liability company, you may have to meet at least once a year for annual planning.  Technology is addressing this.  We are looking into digital signatures now.


Can we trade our time with partners in other partnerships?

No.  Each partnership has exclusive use and control over its own asset.  Each partnership is a separate entity. This is something we will probably look more into down the road.


Can we rent or charter our time to others?

Not managed by us.  We know there is some interest in this, but at this time our target market are customers who desire exclusive use of upper-end assets for personal use.  Secondnd home tax lawes may allow you to rent directly to your friends and family as long as it is done so at below fair market value.


What if I can’t use my asset during some of my scheduled time?

Yachts are used on average 31 days per year.  Even if you only own a share of a luxury asset, it is likely that you will not be able to use it during all of your available time.  If your bylaws permit, share it with family and friends - or not.


Why do we need to form an LLC?

The LLC is a legal entity that provides added liability protection between partners. It must be registered and is issued an IRS tax ID.  We will prepare and complete all the necessary forms for you and can put you in touch with our attorney if you wish to get legal counsel. The entity will not generate income and therefore there should not be any tax consequences.


How is scheduling determined?

Very flexibly.  Breeze Easy supports statutory, negotiated and dynamic scheduling. Click Scheduling to learn more.


Is fractional financing possible?

Probably.  Most lenders want to use the asset for collateral which would be an issue for your partners, however, we are working with lenders who understand our program.  Approval occurs on a case by case basis.


Do we have to keep using Breeze Easy forever?

No.  Some of our marketing efforts require contracting with us for a period of time.  But you are an owner of a legal entity into perpetuity that is otherwise free to do what ever best serves its partners as they - you - see fit.
